Why Audits Are Different for Foreign-Owned Companies in Bangladesh
A foreign-owned company faces more than one audit each year. Each one has its own rules, and a gap in one creates risk in the others.
| Audit / review | Who asks | What we do for you |
|---|---|---|
| Statutory audit of financial statements | Companies Act 1994; shareholders; RJSC | Prepare audit-ready books and schedules; coordinate with an independent ICAB-registered audit firm; track AGM and filing deadlines |
| Tax audit and assessment | NBR / Income Tax Act 2023 | File the return with audited accounts verified through ICAB’s Document Verification System (DVS); reply to notices; represent you at hearings and appeals |
| VAT audit | VAT & SD Act 2012; VAT commissionerate or LTU | Reconcile Mushak returns, purchase/sales registers and VDS; defend findings |
| Transfer pricing review | NBR, for transactions with your parent or group companies | Document related-party pricing (goods, services, royalties, loans) before the auditor or NBR asks |
| Profit or dividend repatriation | Bangladesh Bank, through your AD bank | Prepare the audited accounts, tax clearance and board papers banks need to remit profit to China |
| Zone and investment reporting | BEPZA, BEZA, BIDA | Keep zone and investment filings consistent with your audited figures |
How We Work
- Health check (week 1): we review last year’s audit report, tax and VAT returns and RJSC filings, and give you a written risk list.
- Audit readiness: we close gaps in books, VAT registers, withholding records and related-party files before fieldwork starts.
- Audit coordination: one contact person handles requests from your auditor and the authorities, with progress reports in clear English.
- Filing and defence: we file returns on time and represent you in NBR or VAT audit hearings and appeals.
- Repatriation: we prepare the document set your bank needs to send profits or dividends home.
Why Chinese Investors Choose VATax Advisory & Co.
- Lawyers, not only accountants. We are a tax and corporate law practice, so when an audit turns into a legal dispute, the same team defends you.
- One team for tax, VAT and company law. No hand-offs between separate firms.
- Treaty-aware advice. Bangladesh and China have a double taxation agreement (signed 1996, in force since 1998). We check that treaty relief on dividends, interest and royalties is claimed correctly.
- Clear reporting for head office. Short monthly status reports your finance team in China can act on.
- Based in Dhaka, available in your time zone. Office in Baridhara DOHS; meetings in person, Zoom, Tencent Meeting or WeChat.

Frequently Asked Questions
Does a Chinese-owned private company in Bangladesh need an annual audit?
Yes. Every company registered under the Companies Act 1994 must have its financial statements audited by an independent chartered accountant firm each year, and those audited accounts are needed for the corporate tax return.
What is DVS and why does it matter for my tax return?
DVS is the Document Verification System run by ICAB. The NBR uses it to confirm that the audited financial statements filed with your tax return are genuine. We make sure your audit report carries a valid DVS code before filing.
Can you be our auditor?
No. The statutory audit opinion must come from an independent ICAB-registered audit firm. We prepare your company for that audit, coordinate with the auditor, and handle the tax, VAT and legal side.
What happens in an NBR tax audit or VAT audit?
The authority reviews your returns and records and may raise a demand. We reply to notices, attend hearings, and file appeals if needed, so your management doesn’t have to deal with it directly.
How do we send profits or dividends back to China?
Profit and dividend remittances go through your authorised dealer bank under Bangladesh Bank foreign exchange rules. The bank usually asks for audited accounts, proof of tax paid and board approval. We prepare that set.
Does the Bangladesh–China tax treaty reduce our tax?
The treaty (signed 1996) can limit Bangladesh withholding tax on dividends, interest and royalties paid to a Chinese resident. We check eligibility and the correct rate for your payments.
